Terms of Service

These Terms of Service ("Terms") govern your access to and use of UPLABEL (the "Service"), operated by Srur Strategic Solutions (H.S.) Ltd (Hebrew: סרור פתרונות אסטרטגיים (ח.ס.) בע"מ), company number 514665926, with registered address Shoham 16, Tel Aviv, Israel 6935923 ("UPLABEL", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. What UPLABEL is

UPLABEL is a subscription and credit-based platform of AI tools for independent musicians. The Service lets you turn audio you own into short AI-generated promotional videos, publish smart link pages that route listeners to streaming platforms, and capture fan emails through those pages. We offer a free tier (which applies a UPLABEL watermark to rendered videos) and paid subscriptions and one-time credit packs with expanded limits — current prices are listed at /pricing.

UPLABEL is an independent service. We are not affiliated with, endorsed by, or sponsored by Spotify, Apple Music, YouTube, TikTok, or any other streaming or social platform.

2. Payments — Paddle as Merchant of Record

All purchases on the Service — subscriptions and one-time credit packs — are sold to you by, and processed by, our Merchant of Record Paddle.com Market Ltd. ("Paddle"). Paddle is the seller of record for your transaction and is responsible for billing, collecting applicable taxes (including VAT/GST/sales tax), issuing receipts, and processing refunds. Your card statement will show a charge from Paddle. Paddle's Checkout Buyer Terms apply to the payment transaction, in addition to these Terms which govern your use of the Service itself.

Refunds are governed by our Refund Policy and are issued through Paddle to your original payment method.

3. Eligibility

You must be at least 16 years old to use the Service. By using UPLABEL you represent that you meet this age requirement and have the legal capacity to enter these Terms.

4. Your content and rights warranty

You retain full ownership of the audio, artwork, text, and other materials you upload ("Your Content"). You warrant that, for every upload, you own 100% of the rights in the audio — both the master recording and the underlying composition — or you have written permission from every rights holder (including co-writers, producers, publishers, and labels) sufficient to use the audio through the Service.

Before rendering, you will be asked to confirm this rights warranty for the specific track. Uploading audio you do not fully own or control is a material breach of these Terms and grounds for immediate termination.

You grant UPLABEL a limited, worldwide, non-exclusive, royalty-free license to host, process, transcode, and display Your Content solely as needed to operate and provide the Service to you. We do not claim ownership of Your Content.

5. Generated output

Subject to your compliance with these Terms, UPLABEL assigns to you the rights we hold in the rendered video output created from Your Content, so you can freely publish and distribute it. Free-tier renders include a UPLABEL watermark, which you may not remove, obscure, or alter.

Stock footage, motion templates, fonts, and AI avatar characters that appear in renders are licensed to you as part of the Service, not sold. That license ends if your account is terminated for cause. You may not extract these assets for standalone reuse outside videos rendered through UPLABEL.

6. AI avatars and disclosures

AI avatar characters offered by the Service are synthetic. They do not depict real, identifiable individuals, and you may not use them to imply endorsement, sponsorship, or statements by any real person. You may not upload voice or likeness of a real person without their written consent.

7. Subscriptions and renewals

Prices are shown at checkout on the Paddle-hosted payment page and summarised on our Pricing page. Subscriptions renew automatically each month at the then-current price until cancelled. You can cancel at any time from your billing settings; cancellation takes effect at the end of your current billing period, and you keep access through that period. Monthly plan allowances do not roll over. Credit packs do not expire.

8. Acceptable use

• Do not upload audio you do not fully own or control.
• Do not upload unlawful, infringing, hateful, harassing, or sexually explicit content, or content depicting minors inappropriately.
• Do not scrape, resell, or sublicense the Service or its output beyond the license granted to you.
• Do not attempt to bypass rate limits, quotas, watermarks, or abuse controls, including by using multiple accounts or networks.
• Do not use the Service to send unsolicited email or to run deceptive promotions.

9. Fan data captured through your link pages

Fan emails and events collected through a smart link page belong to you as the artist. UPLABEL processes them on your behalf to provide the Service, and shares them with you. You act as an independent controller of that data toward your fans: you must have a lawful basis to contact them, honor unsubscribes promptly, and comply with applicable privacy and anti-spam laws (including GDPR, CCPA, and CAN-SPAM where relevant).

10. Copyright and repeat-infringer termination

We respond to valid copyright notices under our DMCA policy. Accounts that accumulate two substantiated infringement strikes in any 12-month period will be terminated. See our DMCA Policy for details and contact information.

11. Disclaimers and liability

The Service is provided "as is" and "as available". We do not guarantee any particular level of views, streams, follows, sales, or other outcomes. To the maximum extent permitted by law, UPLABEL's aggregate liability arising out of or relating to the Service is limited to the amounts you paid us (via Paddle) in the 12 months before the event giving rise to the claim.

12. Governing law and venue

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The exclusive venue for disputes between you and UPLABEL is the competent courts of Tel Aviv-Yafo, Israel. Mandatory consumer-protection rights in your country of residence are unaffected. Payment-related disputes with Paddle are additionally subject to Paddle's own terms.

13. Changes

We may update these Terms. Material changes take effect 14 days after we post the updated version or notify you by email, whichever is later. Continued use of the Service after that time constitutes acceptance.
